Welcome to Overnight Empire™, a platform operated by Licensing Partners LLC (“Company,” “we,” “our,” or “us”), a Florida Limited Liability Company. These Terms and Conditions (“Terms”) govern your access to and use of the Overnight Empire™ platform, services, content, templates, software tools, community, and training materials (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Access and Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. By using Overnight Empire™, you represent and warrant that you meet these requirements.

2. Subscription, Billing, and Cancellation

Access to Overnight Empire™ is provided on a subscription basis.

Billing Cycle: Subscriptions are billed monthly or annually, depending on the plan selected at checkout

Auto-Renewal: All subscriptions automatically renew unless canceled prior to the renewal date.

Self-Cancellation: You may cancel your subscription at any time directly inside your account by navigating to: Settings > Billing > "Want to modify/cancel the subscription?" > "Cancel Plan"

No phone calls, emails, or manual requests are required.

Access After Cancellation: Upon cancellation, you will retain access to the platform through the end of your current billing cycle. After that period, your access will automatically expire and cannot be reactivated or recovered.

3. Refund Policy

We do not offer refunds for any reason once access to the platform has been granted. All sales are final. Please ensure you fully understand what is included before purchasing.

4. License and Intellectual Property

All content, templates, automation workflows, training programs, coaching systems, designs, and proprietary materials provided within Overnight Empire™ are protected under copyright, trademark, and intellectual property laws.

You are granted a limited, non-transferable, non-exclusive license to use these materials solely for the purpose of operating your personal coaching or service-based business.

You may not:

Sell, resell, sublicense, or transfer your access to others.

Distribute, replicate, or publicly share any content from Overnight Empire™.

Offer the materials as part of a service, platform, or package to other coaches or resellers.

Claim ownership of any Overnight Empire™ assets.

Violation of these terms may result in immediate termination of access with no refund and potential legal action.

5. Restrictions on Use

You agree not to:

Use the Services for any unlawful, harmful, fraudulent, or unauthorized purpose.

Interfere with the operation or security of the platform.

Misrepresent your identity or affiliation.

Use automation or scraping tools to copy or distribute content.

Attempt to reverse-engineer or duplicate any part of the platform's backend functionality.

6. Earnings Disclaimer

While our systems are designed to help you launch and grow a profitable business,

we make no guarantees regarding income, results, or success.

Your results depend on numerous factors including your background, effort, skillset, and market conditions.

Nothing on this platform or in our materials constitutes a promise or guarantee of earnings.

Testimonials and case studies reflect individual experiences and are not typical or guaranteed.

You are solely responsible for your financial decisions and business outcomes.

7. Community Conduct

Access to the Empire Academy™ (our member community) is included with your subscription. To maintain a safe, respectful, and productive environment, you agree to follow these community guidelines:

Be respectful to others at all times.

No harassment, hate speech, or discriminatory behavior.

No spamming, pitching, or soliciting other members.

No sharing of proprietary platform content or login details.

Maintain professionalism and contribute positively.

Violation of these rules may result in removal from the community or termination of your account.

8. Termination of Access

We reserve the right to suspend or permanently terminate your access to Overnight Empire™ at any time if:

You breach any part of these Terms.

You misuse the platform or its materials.

You act in a way that harms the community or business.

In the event of termination, your license will be revoked and access to all services and materials will be removed.

Deleted accounts cannot be recovered.

9. Limitation of Liability

To the fullest extent permitted by law, Licensing Partners LLC and its officers, affiliates, and licensors are not liable for:

Any direct, indirect, incidental, special, consequential, or punitive damages.

Business interruption, loss of revenue, or data loss.

Any unauthorized access to or use of your account or data.

Your sole remedy for dissatisfaction with the Services is to stop using them.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

You agree that any legal action arising from or related to these Terms shall be brought in the state or federal courts located in Florida.

11. Modifications

We may update these Terms from time to time. Any changes will take effect upon posting the revised Terms on our website. Continued use of the platform indicates acceptance of those changes.
